Entre\u00a0ellos, la\u00a0oferta\u00a0vinculante\u00a0confidencial\u00a0se ha\u00a0convertido\u00a0en\u00a0una\u00a0herramienta\u00a0muy\u00a0utilizada\u00a0por\u00a0su\u00a0rapidez\u00a0y\u00a0sencillez. Pero\u00a0una\u00a0pregunta\u00a0resulta\u00a0inevitable: \u00bfcumplir\u00a0el\u00a0requisito\u00a0de\u00a0procedibilidad\u00a0equivale\u00a0siempre\u00a0a\u00a0negociar\u00a0de\u00a0verdad?\u00a0<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>1.La\u00a0oferta\u00a0vinculante\u00a0confidencial:\u00a0una\u00a0herramienta\u00a0\u00fatil,\u00a0 pero\u00a0de\u00a0alcance\u00a0limitado<\/strong>\u00a0<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">La&nbsp;oferta&nbsp;vinculante&nbsp;confidencial,&nbsp;regulada&nbsp;en&nbsp;el&nbsp;art\u00edculo&nbsp;17 del&nbsp;T\u00edtulo&nbsp;II de la Ley&nbsp;Org\u00e1nica&nbsp;1\/2025,&nbsp;permite&nbsp;que&nbsp;una&nbsp;persona&nbsp;formule&nbsp;a&nbsp;otra&nbsp;una&nbsp;propuesta&nbsp;cerrada&nbsp;para&nbsp;solucionar&nbsp;una&nbsp;controversia. Si la&nbsp;parte&nbsp;destinataria&nbsp;la&nbsp;acepta&nbsp;expresamente, la&nbsp;oferta&nbsp;despliega&nbsp;efectos&nbsp;vinculantes. Si la&nbsp;rechaza&nbsp;o&nbsp;no&nbsp;la&nbsp;acepta&nbsp;en&nbsp;el&nbsp;plazo&nbsp;previsto, la&nbsp;parte&nbsp;oferente&nbsp;puede&nbsp;acudir&nbsp;al tribunal,&nbsp;entendiendo&nbsp;cumplido&nbsp;el&nbsp;requisito&nbsp;de&nbsp;procedibilidad.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Desde&nbsp;una&nbsp;perspectiva&nbsp;pr\u00e1ctica,&nbsp;su&nbsp;atractivo&nbsp;es&nbsp;evidente: es&nbsp;r\u00e1pida, documentable,&nbsp;confidencial&nbsp;y&nbsp;permite&nbsp;dejar&nbsp;constancia&nbsp;del&nbsp;intento&nbsp;previo&nbsp;de&nbsp;soluci\u00f3n&nbsp;extrajudicial. Para&nbsp;muchos&nbsp;operadores&nbsp;jur\u00eddicos,&nbsp;especialmente&nbsp;en&nbsp;asuntos&nbsp;de&nbsp;contenido&nbsp;econ\u00f3mico,&nbsp;puede&nbsp;parecer&nbsp;el camino&nbsp;m\u00e1s&nbsp;directo&nbsp;para&nbsp;superar&nbsp;la&nbsp;fase&nbsp;preprocesal&nbsp;sin&nbsp;abrir&nbsp;un&nbsp;proceso&nbsp;de&nbsp;di\u00e1logo&nbsp;m\u00e1s&nbsp;amplio.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ahora&nbsp;bien,&nbsp;su&nbsp;principal&nbsp;fortaleza&nbsp;es tambi\u00e9n&nbsp;su&nbsp;gran&nbsp;limitaci\u00f3n: la&nbsp;oferta&nbsp;vinculante&nbsp;funciona&nbsp;sobre&nbsp;una&nbsp;estructura&nbsp;r\u00edgida. Una&nbsp;parte&nbsp;ofrece; la&nbsp;otra&nbsp;acepta&nbsp;o&nbsp;rechaza. El&nbsp;espacio&nbsp;intermedio,&nbsp;que&nbsp;es&nbsp;precisamente&nbsp;donde&nbsp;suele&nbsp;aparecer&nbsp;la&nbsp;verdadera&nbsp;negociaci\u00f3n,&nbsp;queda&nbsp;muy&nbsp;reducido.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\u26a0\ufe0f&nbsp;Atenci\u00f3n&nbsp;pr\u00e1ctica<\/strong>&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">La&nbsp;oferta&nbsp;vinculante&nbsp;confidencial&nbsp;puede&nbsp;ser&nbsp;un MASC&nbsp;id\u00f3neo&nbsp;cuando&nbsp;el&nbsp;conflicto&nbsp;est\u00e1&nbsp;muy&nbsp;delimitado, la&nbsp;posici\u00f3n&nbsp;econ\u00f3mica&nbsp;est\u00e1&nbsp;clara&nbsp;y las partes solo&nbsp;necesitan&nbsp;una&nbsp;propuesta&nbsp;final. Pero no es la&nbsp;herramienta&nbsp;m\u00e1s&nbsp;adecuada&nbsp;cuando&nbsp;el&nbsp;conflicto&nbsp;exige&nbsp;escucha,&nbsp;reconstrucci\u00f3n&nbsp;de confianza o&nbsp;exploraci\u00f3n&nbsp;de&nbsp;intereses&nbsp;ocultos.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>2.El\u00a0requisito\u00a0de\u00a0procedibilidad\u00a0no\u00a0deber\u00eda\u00a0convertirse\u00a0en\u00a0un simple\u00a0tr\u00e1mite<\/strong>\u00a0<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">El&nbsp;art\u00edculo&nbsp;5 del&nbsp;T\u00edtulo&nbsp;II de la Ley&nbsp;Org\u00e1nica&nbsp;1\/2025&nbsp;configura&nbsp;los&nbsp;MASC&nbsp;como&nbsp;requisito&nbsp;de&nbsp;procedibilidad&nbsp;con&nbsp;car\u00e1cter&nbsp;general&nbsp;en&nbsp;el&nbsp;orden&nbsp;civil. Esta&nbsp;decisi\u00f3n&nbsp;legislativa&nbsp;persigue&nbsp;un&nbsp;cambio&nbsp;cultural: antes de&nbsp;litigar, las partes&nbsp;deben&nbsp;intentar&nbsp;una&nbsp;soluci\u00f3n&nbsp;adecuada&nbsp;a&nbsp;su&nbsp;controversia.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">El&nbsp;riesgo, sin embargo, es&nbsp;que&nbsp;el nuevo&nbsp;sistema&nbsp;se&nbsp;entienda&nbsp;\u00fanicamente&nbsp;como&nbsp;una&nbsp;puerta&nbsp;formal&nbsp;que&nbsp;hay&nbsp;que&nbsp;cruzar&nbsp;antes de&nbsp;presentar&nbsp;la&nbsp;demanda. Si&nbsp;los&nbsp;MASC se&nbsp;reducen&nbsp;a&nbsp;una&nbsp;mera&nbsp;acreditaci\u00f3n&nbsp;documental, se&nbsp;habr\u00e1&nbsp;cumplido&nbsp;la&nbsp;letra&nbsp;de la ley,&nbsp;pero&nbsp;se&nbsp;habr\u00e1&nbsp;perdido&nbsp;buena&nbsp;parte&nbsp;de&nbsp;su&nbsp;esp\u00edritu.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">La&nbsp;oferta&nbsp;vinculante&nbsp;confidencial&nbsp;puede&nbsp;ayudar&nbsp;a&nbsp;cumplir&nbsp;el&nbsp;requisito&nbsp;de&nbsp;procedibilidad. Pero la&nbsp;mediaci\u00f3n&nbsp;permite&nbsp;algo&nbsp;m\u00e1s&nbsp;ambicioso:&nbsp;crear&nbsp;un&nbsp;espacio&nbsp;de&nbsp;comunicaci\u00f3n&nbsp;real,&nbsp;asistido&nbsp;por&nbsp;una&nbsp;persona neutral,&nbsp;en&nbsp;el&nbsp;que&nbsp;las partes&nbsp;puedan&nbsp;comprender&nbsp;el&nbsp;conflicto,&nbsp;revisar&nbsp;expectativas,&nbsp;identificar&nbsp;intereses&nbsp;y&nbsp;construir&nbsp;soluciones&nbsp;propias.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>3. \u00a0Ofrecer\u00a0no es lo\u00a0mismo\u00a0que\u00a0mediar<\/strong>\u00a0<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">La&nbsp;diferencia&nbsp;entre formular&nbsp;una&nbsp;oferta&nbsp;y&nbsp;participar&nbsp;en&nbsp;una&nbsp;mediaci\u00f3n&nbsp;no es solo&nbsp;metodol\u00f3gica. Es&nbsp;una&nbsp;diferencia&nbsp;de&nbsp;cultura&nbsp;jur\u00eddica.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">En la&nbsp;oferta&nbsp;vinculante&nbsp;confidencial, el&nbsp;protagonismo&nbsp;recae&nbsp;en&nbsp;el&nbsp;contenido&nbsp;de la&nbsp;propuesta. La&nbsp;parte&nbsp;requerida&nbsp;se&nbsp;sit\u00faa&nbsp;ante&nbsp;una&nbsp;decisi\u00f3n&nbsp;binaria:&nbsp;aceptar&nbsp;o no&nbsp;aceptar. En la&nbsp;mediaci\u00f3n,&nbsp;en&nbsp;cambio, el&nbsp;protagonismo&nbsp;recae&nbsp;en&nbsp;el&nbsp;proceso&nbsp;de&nbsp;comunicaci\u00f3n. La&nbsp;soluci\u00f3n&nbsp;no se&nbsp;impone&nbsp;desde&nbsp;una&nbsp;posici\u00f3n&nbsp;cerrada,&nbsp;sino&nbsp;que&nbsp;se&nbsp;va&nbsp;elaborando&nbsp;con la&nbsp;participaci\u00f3n&nbsp;activa&nbsp;de&nbsp;quienes&nbsp;conocen&nbsp;el&nbsp;conflicto.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Esto&nbsp;resulta&nbsp;especialmente&nbsp;relevante&nbsp;en&nbsp;conflictos&nbsp;donde&nbsp;la&nbsp;controversia&nbsp;jur\u00eddica&nbsp;visible es solo la&nbsp;superficie.&nbsp;Detr\u00e1s&nbsp;de&nbsp;una&nbsp;reclamaci\u00f3n&nbsp;de&nbsp;cantidad&nbsp;puede&nbsp;existir&nbsp;una&nbsp;relaci\u00f3n&nbsp;comercial&nbsp;deteriorada;&nbsp;detr\u00e1s&nbsp;de&nbsp;una&nbsp;discrepancia&nbsp;contractual,&nbsp;una&nbsp;p\u00e9rdida&nbsp;de confianza;&nbsp;detr\u00e1s&nbsp;de un&nbsp;problema&nbsp;vecinal,&nbsp;una&nbsp;historia&nbsp;de&nbsp;incomunicaci\u00f3n. En&nbsp;estos&nbsp;casos,&nbsp;una&nbsp;oferta&nbsp;puede&nbsp;cerrar&nbsp;un&nbsp;expediente,&nbsp;pero&nbsp;la&nbsp;mediaci\u00f3n&nbsp;puede&nbsp;trabajar&nbsp;la&nbsp;ra\u00edz&nbsp;del&nbsp;problema.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\ud83e\udd1d Clave&nbsp;mediadora<\/strong>&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">La&nbsp;mediaci\u00f3n&nbsp;no&nbsp;pregunta&nbsp;\u00fanicamente&nbsp;cu\u00e1nto&nbsp;se reclama o&nbsp;cu\u00e1nto&nbsp;se&nbsp;ofrece.&nbsp;Pregunta&nbsp;qu\u00e9&nbsp;necesita&nbsp;cada&nbsp;parte,&nbsp;qu\u00e9&nbsp;teme,&nbsp;qu\u00e9&nbsp;desea&nbsp;evitar,&nbsp;qu\u00e9&nbsp;margen&nbsp;real&nbsp;existe&nbsp;y&nbsp;qu\u00e9&nbsp;tipo&nbsp;de&nbsp;soluci\u00f3n&nbsp;puede&nbsp;ser&nbsp;sostenible&nbsp;en&nbsp;el&nbsp;tiempo.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>4. \u00a0Confidencialidad: punto\u00a0com\u00fan,\u00a0utilidad\u00a0distinta<\/strong>\u00a0<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Tanto la&nbsp;oferta&nbsp;vinculante&nbsp;confidencial&nbsp;como&nbsp;la&nbsp;mediaci\u00f3n&nbsp;descansan&nbsp;sobre&nbsp;la&nbsp;confidencialidad. El&nbsp;art\u00edculo&nbsp;9 del&nbsp;T\u00edtulo&nbsp;II de la Ley&nbsp;Org\u00e1nica&nbsp;1\/2025 protege el&nbsp;proceso&nbsp;negociador&nbsp;y la&nbsp;documentaci\u00f3n&nbsp;empleada,&nbsp;evitando&nbsp;que&nbsp;las&nbsp;posiciones&nbsp;de las partes&nbsp;contaminen&nbsp;indebidamente&nbsp;el posterior&nbsp;proceso&nbsp;judicial.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Sin embargo, la&nbsp;confidencialidad&nbsp;cumple&nbsp;funciones&nbsp;distintas&nbsp;en&nbsp;cada&nbsp;mecanismo. En la&nbsp;oferta&nbsp;vinculante, protege el&nbsp;contenido&nbsp;de&nbsp;una&nbsp;propuesta&nbsp;concreta. En la&nbsp;mediaci\u00f3n, protege un&nbsp;espacio&nbsp;completo&nbsp;de&nbsp;conversaci\u00f3n. Esta&nbsp;diferencia&nbsp;es&nbsp;esencial. La&nbsp;confidencialidad&nbsp;mediadora&nbsp;permite&nbsp;que&nbsp;las partes&nbsp;hablen&nbsp;con&nbsp;m\u00e1s&nbsp;libertad,&nbsp;exploren&nbsp;alternativas&nbsp;sin&nbsp;quedar&nbsp;atrapadas&nbsp;por&nbsp;ellas&nbsp;y&nbsp;reconozcan&nbsp;dificultades&nbsp;sin&nbsp;que&nbsp;ello&nbsp;sea&nbsp;utilizado&nbsp;procesalmente&nbsp;en&nbsp;su&nbsp;contra.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Esa&nbsp;seguridad&nbsp;psicol\u00f3gica&nbsp;y&nbsp;jur\u00eddica&nbsp;es uno de&nbsp;los&nbsp;grandes&nbsp;valores&nbsp;de la&nbsp;mediaci\u00f3n. Sin&nbsp;ella, las partes&nbsp;tienden&nbsp;a defender&nbsp;posiciones&nbsp;r\u00edgidas. La\u00a0mediaci\u00f3n\u00a0como\u00a0cultura\u00a0del\u00a0acuerdo<\/strong>\u00a0<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">La&nbsp;verdadera&nbsp;aportaci\u00f3n&nbsp;de la&nbsp;mediaci\u00f3n&nbsp;no&nbsp;consiste&nbsp;solo&nbsp;en&nbsp;descargar&nbsp;a&nbsp;los&nbsp;tribunales. Esa&nbsp;visi\u00f3n,&nbsp;aunque&nbsp;frecuente, es&nbsp;demasiado&nbsp;pobre. La&nbsp;mediaci\u00f3n&nbsp;aporta&nbsp;una&nbsp;forma&nbsp;distinta&nbsp;de&nbsp;aproximarse&nbsp;al&nbsp;conflicto:&nbsp;menos&nbsp;adversarial,&nbsp;m\u00e1s&nbsp;responsable&nbsp;y&nbsp;m\u00e1s&nbsp;orientada&nbsp;a la&nbsp;soluci\u00f3n&nbsp;que&nbsp;a la&nbsp;victoria&nbsp;procesal.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">En&nbsp;mediaci\u00f3n, las partes no&nbsp;delegan&nbsp;completamente&nbsp;la&nbsp;respuesta&nbsp;en&nbsp;un&nbsp;tercero&nbsp;que&nbsp;decide.&nbsp;Tampoco&nbsp;se&nbsp;limitan&nbsp;a&nbsp;intercambiar&nbsp;posiciones&nbsp;cerradas.&nbsp;Participan&nbsp;en&nbsp;la&nbsp;construcci\u00f3n&nbsp;de&nbsp;una&nbsp;salida. Esa&nbsp;participaci\u00f3n&nbsp;aumenta&nbsp;la&nbsp;percepci\u00f3n&nbsp;de&nbsp;justicia,&nbsp;favorece&nbsp;el&nbsp;cumplimiento&nbsp;voluntario&nbsp;y reduce la&nbsp;posibilidad&nbsp;de&nbsp;nuevos&nbsp;conflictos&nbsp;derivados&nbsp;del&nbsp;mismo&nbsp;problema.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Este valor es&nbsp;especialmente&nbsp;importante&nbsp;en&nbsp;\u00e1mbitos&nbsp;donde&nbsp;las partes van a&nbsp;seguir&nbsp;relacionadas:&nbsp;empresa&nbsp;familiar,&nbsp;arrendamientos, comunidades de&nbsp;propietarios,&nbsp;relaciones&nbsp;mercantiles&nbsp;estables,&nbsp;conflictos&nbsp;entre&nbsp;socios,&nbsp;consumo,&nbsp;responsabilidad&nbsp;profesional&nbsp;o&nbsp;controversias&nbsp;contractuales&nbsp;complejas.
